TERMS OF SERVICE – VOYAI

These Terms of Service (“Terms”) govern access to and use of the services provided by VoyAI (“VoyAI,” “we,” “our,” or “us”) through our website https://voyai.ca and any related platforms, tools, or services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

The Services are available exclusively to businesses.

To use the Services, you must:

Be at least 21 years old

Have the authority to bind a business entity

Use the Services for lawful commercial purposes only

VoyAI may refuse service to anyone at its sole discretion.

2. Description of Services

VoyAI operates as an AI automation agency, offering services including but not limited to:

AI automation systems

Done-for-you AI agents

CRM integrations

Chatbots and voice agents

Website building

Audits, optimization, and consulting services

Services may be:

Custom (done-for-you)

Subscription-based

Provided under hybrid pricing models defined in a separate agreement or proposal

3. Trial Period

VoyAI may offer a free trial period at its discretion.

Trials are provided as-is

VoyAI makes no guarantees regarding results during or after the trial

Continued use after the trial requires a paid subscription or contract

4. Payment & Billing

a. Subscription Billing

Payments are billed automatically on the 1st of each month

Fees are defined in a written agreement or proposal

Billing is processed automatically via authorized payment providers

b. Refund Policy

If a client terminates services, VoyAI will refund only the current month’s payment

No refunds are provided for prior months, setup fees, or completed work

c. Late Payments

Failure to process payment may result in immediate suspension of Services

VoyAI reserves the right to terminate access for repeated payment failures

5. Client Responsibilities

Clients agree to:

Use the Services lawfully and ethically

Provide accurate and complete information

Avoid system abuse or misuse

Maintain responsibility for how AI outputs are used

6. Prohibited Use

You may not:

Use the Services for illegal purposes

Abuse or overload AI systems

Reverse engineer or replicate VoyAI systems

Resell or sublicense Services without authorization

Circumvent safeguards or security features

Violation may result in immediate termination.

7. Intellectual Property

a. VoyAI Property

All VoyAI systems, templates, workflows, methodologies, automations, and internal processes remain the exclusive property of VoyAI.

b. Client Property

Clients retain ownership of:

Their data

Prompts

Documents

Business information

c. AI Outputs

AI outputs may be jointly usable by VoyAI and the client

Outputs are not guaranteed to be unique

VoyAI retains the right to reuse generalized, non-identifiable concepts to improve internal systems

8. AI-Specific Disclaimers

AI outputs may contain inaccuracies or limitations

VoyAI does not guarantee accuracy, performance, or outcomes

Clients bear full responsibility for how AI outputs are implemented

VoyAI does not provide legal, financial, medical, or regulatory advice

9. Suspension & Termination

VoyAI may:

Suspend Services immediately for violations

Terminate Services with or without notice where legally permitted

Modify or discontinue Services at its discretion

Clients may terminate services with prior notice as defined in their agreement.

10. Limitation of Liability

To the fullest extent permitted by law:

VoyAI is not liable for indirect, incidental, or consequential damages

VoyAI’s total liability shall not exceed the amount paid by the client in the preceding 30 days

Services are provided “as-is” and “as-available”

11. Indemnification

Clients agree to indemnify and hold harmless VoyAI from claims arising from:

Misuse of AI outputs

Violation of laws

Breach of these Terms

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Québec, Canada, without regard to conflict-of-law principles.

All disputes shall be resolved exclusively in the courts of Québec, Canada.

13. Changes to These Terms

VoyAI may update these Terms at any time. Continued use of the Services constitutes acceptance of revised Terms.
